13、規(guī)格和數(shù)量與合同、信用證或發(fā)票不符，除屬于保險公司及船公司的責(zé)任外，買方有權(quán)在貨卸目的口岸后90天內(nèi)，根據(jù)中國商品檢驗局出具的證明書向賣方提出索賠。如果賣方在收到買方提出的索賠后一個月之內(nèi)未做答復(fù)，買方即認(rèn)為索賠已被賣方接受。索賠的一切費用由賣方承擔(dān)。Shouldthequalityspecificationquantityweightbefoundnotinconfermitywiththecontractletterofcredit

16、heSellers.16、人力不可抗拒：由于一般公認(rèn)的人力不可抗拒原因造成不可預(yù)測的事以致不能按合同約定交貨時，賣方應(yīng)立即以電報通知買方，并在14天內(nèi)航寄買方事故發(fā)生地點的有關(guān)政府或商會發(fā)給的證明文件證明事故的存在。賣方由于人力不可抗拒所造成的事故發(fā)生，在買方未確認(rèn)前不排除其責(zé)任。如人力不可抗拒的原因繼續(xù)存在，在合約規(guī)定的交貨期后一個月仍不能交貨，買方有權(quán)撤消合約，買賣雙方均不互提索賠，如賣方不能取得出口許可證，不得作為不可抗力。Fce

20、ntheexpertlicencecanundernoclicumstancesbeconsideredasFceMajeure.17、罰款：除本合同第16條人力不可抗拒原因外，如賣方不能按期交貨，買方有權(quán)撤消合約，因此而造成買方的損失應(yīng)由賣方賠償，或經(jīng)買方同意在賣方繳納罰款的條件下延期交貨，罰金在議付款時由付款銀行扣除。罰金應(yīng)不超出遲交貨物總值的5%，罰款率為每七天0.5%，若少于七天則按七天計算。PenaltyiftheSeller

23、ivery.TherateofPenaltyisgedat0.5%feverysevendaysadddayslessthansevendaysshouldbecountedassevendays.18、仲裁：凡是因為執(zhí)行合約或與合約有關(guān)事項所發(fā)生的爭執(zhí)，雙方應(yīng)協(xié)商解決，如協(xié)商不能解決時，應(yīng)提交北京中國國際貿(mào)易促進委員會對外貿(mào)易仲裁委員會根據(jù)中國國際貿(mào)易促進委員會對外仲裁委員會的仲裁程序暫行規(guī)則進行仲裁，仲裁裁決是終局的，對雙方都有約束
