1、Sales Agency Agreement銷售代理協(xié)議 銷售代理協(xié)議Manufacturer: Agent: The two parties sign this agency agreement on the basis of equality, free will and mutual consultation. Both sides must comply. 本著平等自愿,協(xié)商一致的原則,簽訂此協(xié)議。雙方均應(yīng)嚴(yán)格遵守。Sectio
2、n 1: 第一條 第一條 The manufacturer appoints the agent to act as their exclusive selling agent in China to sell the following products of the manufacturer: 制造商同意將其生產(chǎn)的下列產(chǎn)品在中國(guó)的獨(dú)家銷售代理權(quán)授予代理方: Section 2: Responsibility of the Agent
3、 第二條 第二條 代理人的職責(zé) 代理人的職責(zé)The agent shall make all efforts to promote the sale of the products of the manufacturer using the agent’s marketing organization. The agent shall send all enquiries and orders received by them to
4、the manufacturer and have no rights to sign any binding agreement on behalf of the manufacturer. The agent shall explain to the customers all the technical parameters and commercial terms stated by the manufacturer and
5、take all steps to co-ordinate between the manufacturer and the customers to secure the orders. 代理人利用自身的銷售網(wǎng)絡(luò)在中華人民共和國(guó)積極拓展用戶。代理人向制 造商轉(zhuǎn)送接收到的詢價(jià)和訂單。代理人無(wú)權(quán)代表制造商簽訂任何具有約束力的合約。代理人應(yīng)把制造商規(guī)定的技術(shù)參數(shù)和商業(yè)條款對(duì)用戶解釋。采取措施配 合制造商獲得訂單。The agent, in
6、 relation to the products covered by this agency agreement, describe them only as ‘sales and service agent’ for the products and not hold themselves out or permit any person to hold himself out as being authorized to b
7、ind the manufacturer in any way or to do any act which might reasonably create an impression that the agent is so authorized. The offers given and orders received will always include a clause “Subject to approval/acce
8、ptance of the order by M/s Veejay Lakshmi Engineering Works Limited.” The right to receive/accept the orders and making the invoices for manufacturer’s engineers will be borne by the agent. The after-sales service fee wi
9、thin guarantee period should be charged by the manufacture, if out the guarantee period should be charged by the agent to the customers, will be negotiated and finalized separately. 3.2 為了在保修期內(nèi)向顧客提供售后服務(wù)(如安裝、試車和服務(wù)熱線),制造
10、商委托代理方進(jìn)行必要的售后服務(wù),制造商為代理方培訓(xùn)兩名技師(機(jī)械和電器技師各一名) 。如果兩名技師需要在印度培訓(xùn),制造商應(yīng)當(dāng)承擔(dān)他們?cè)谟《?的食宿費(fèi)和當(dāng)?shù)氐慕煌ㄙM(fèi)用。代理商承擔(dān)他們往返機(jī)票費(fèi)用。同樣,如果制造商派工程師來(lái)中國(guó)培訓(xùn),往返機(jī)票費(fèi)用應(yīng)自理,代理商負(fù)責(zé)制造商工程師在中 國(guó)的食宿及交通費(fèi)用。保修期內(nèi)的售后服務(wù)費(fèi)用由制造商負(fù)擔(dān),假如超出保修期范圍,代理商向客戶收取售后服務(wù)費(fèi),此費(fèi)用應(yīng)當(dāng)另行商定。Section 4: Advertis
11、ement and Exhibition 第四條 第四條 廣告和展覽會(huì) 廣告和展覽會(huì)Both the manufacturer and the agent will discuss and finalize the budget for the sales promotion activities like advertisements in newspapers, road shows, seminars, participatio
12、n in exhibitions etc and the expenses will be shared by both sides. The sharing pattern will be on mutual consent after discussions. The Manufacturer at their own expense will provide the catalogues for all products pri
13、nted in local language. The agent will provide all assistance for translation and printing.雙方應(yīng)就各種促銷活動(dòng)的費(fèi)用展開討論,諸如在報(bào)紙上刊登廣告、路演、研討會(huì)、參展等活動(dòng)。費(fèi)用由雙方共同承擔(dān)。分擔(dān)模式由雙方共同討論后確定。制造商須出資提供印刷有當(dāng)?shù)卣Z(yǔ)言的產(chǎn)品目錄。代理商負(fù)責(zé)提供翻譯和印刷的幫助。Section 5: Financial Resp
14、onsibility第五條 第五條 代理人的財(cái)務(wù)責(zé)任 代理人的財(cái)務(wù)責(zé)任5.1 The agent is responsible for all activities relating to collection of payment for the goods sold like following with the customer for opening of letters of credit and collection
15、of payment as per the terms of the order. The agent shall also adopt appropriate measures to inquire upon the customers’ credit worthiness and paying capacity whenever the order is secured on credit terms. In the unli
16、kely event of any litigation for collection of payment, the agent will provide all assistance required for such litigation. However, all expenses relating to the litigation will be borne by the manufacturer. 5.1 代理商有
17、義務(wù)按時(shí)收回信用證支付條件下的貨款和訂單條款下的兌現(xiàn)。 在賒賬付款條件下,代理商應(yīng)采取適當(dāng)方式了解當(dāng)?shù)赜嗀浫说男抛u(yù)和支付能力。假如出現(xiàn)對(duì)貨款回收的訴訟,代理商應(yīng)全力提供幫助。通常的索款及協(xié)助 收回應(yīng)付貨款的開支應(yīng)由制造商負(fù)擔(dān)。5.2 The agent has no rights to accept payment on behalf of the manufacturer without permission. 5.2 未經(jīng)同意,代
